2013 CONVENTION PREVIEW
The NFDA Executive Board will ask the House of Del-
egates to approve a resolution that authorizes NFDA to
convert to a Wisconsin non-profit corporation.
The National Funeral Directors Association of the Unit-
ed States, Inc. was organized in 1924 as a non-profit cor-
poration under an old federal corporation law. After Con-
gress granted the District of Columbia self-government
status, NFDA was grandfathered in as a D.C. corporation.
Starting in 2014, the District will convert grandfathered
non-profit corporations like NFDA into entities subject to
all D.C. registrations, filings and reports.
Rather than be converted into a D.C. non-profit corpo-
ration, it makes more sense to convert NFDA into a Wis-
consin non-profit corporation. This would make NFDA’s
state of incorporation the same as its subsidiaries, the
Funeral Service Foundation and NFDA Services, Inc.
House of Delegate action is needed because D.C. law re-
quires the approval of the members to convert NFDA
from a D.C. corporation to a corporation organized un-
der another state. A majority vote is required to pass the
resolution. The conversion will not have any impact on
NFDA other than changing the state of incorporation.
The NFDA Governance Committee will review and
recommend action on the resolution at a meeting sched-
uled for Monday, October 21, 2013 from 2:15 to 3:15
pm in the convention center. NFDA members are wel-
come to attend.
Additionally, elections for the following officer-level
positions will take place during the House of Delegates
meeting. Each individual elected will serve a one-year
term that commences following the 2013 Convention.
The individual elected to serve as president-elect will au-
tomatically become NFDA President following the 2014
NFDA Convention.

Robert L. “Robby” Bates, CFSP (Texas), was elected to
serve as the 2013-14 NFDA President-elect. He will au-
tomatically assume the role of NFDA President follow-
ing the 2013 NFDA International Convention & Expo,
serving a one year term.
